Terms of Service
These Terms govern your use of Maxee, including restrictions, responsibilities, and legal boundaries.

Acceptance and Eligibility
By accessing or using Maxee, you agree to these Terms. If you use Maxee on behalf of a company, you represent that you are authorized to bind that entity.
You must comply with applicable laws where you use Maxee.
User Representations
- You represent that you have all rights, permissions, and lawful basis needed to submit data to Maxee.
- You represent that your use of Maxee, including recording and transcription use cases, complies with applicable consent, employment, surveillance, and privacy laws.
- You will not instruct Maxee to process data where you lack authority or legal basis.
Service Scope and Free Access
Maxee is currently offered under a free early-access model. Features, limits, and availability may change at any time.
Maxee may introduce paid plans in the future with reasonable notice.
License
Maxee grants you a limited, revocable, non-exclusive, non-transferable right to use the service for lawful internal use, subject to these Terms.
Restrictions and Prohibited Conduct
- Do not copy, resell, sublicense, reverse engineer, decompile, or create derivative works from Maxee except where law expressly permits.
- Do not scrape, data-mine, probe, or otherwise attempt unauthorized extraction of service data.
- Do not bypass security controls, interfere with service integrity, or attempt unauthorized access.
- Do not use Maxee to distribute unlawful, infringing, defamatory, or abusive material.
- Do not use Maxee in violation of export controls, sanctions, privacy laws, or recording and monitoring laws.
Recording and Consent Responsibility
You are solely responsible for obtaining all legally required notices and consents before recording, transcribing, or analyzing conversations.
Maxee is not responsible for your failure to comply with meeting, labor, wiretapping, surveillance, or data protection laws.
AI Features and Output Disclaimer
Maxee may generate AI output that can be incorrect, incomplete, delayed, or unsuitable for your use case.
You are solely responsible for reviewing output and any decisions made based on it.
Maxee output is not legal, medical, financial, employment, or compliance advice.
Customer Data and Integrations
You retain rights to your data. You grant Maxee the rights needed to host, process, secure, and improve the service.
When you connect third-party tools or model providers, you are responsible for their configuration, terms, and lawful use.
Security and Shared Responsibility
- Maxee operates technical safeguards, but security is a shared responsibility between Maxee and the customer.
- You are responsible for access management, credential security, lawful configuration of integrations, and application-level controls for your use case.
- If you use Supabase or related infrastructure through Maxee features, you remain responsible for selecting appropriate regions and applying required data-governance controls for your obligations.
Healthcare and Regulated Use
Do not use Maxee for regulated healthcare data (including PHI) unless all required agreements and controls are in place, including applicable business associate terms and mandated technical safeguards.
Export Controls and Sanctions
You may not use or export the service in violation of applicable export control, sanctions, or trade compliance laws.
Termination
Maxee may suspend or terminate access if these Terms are violated, if required by law, or if service abuse risks users or platform integrity.
Upon termination, access rights end immediately and data handling follows our retention rules.
Dispute Resolution and Class Action Waiver
Before filing a formal claim, the parties will attempt good-faith informal resolution through written notice.
To the fullest extent permitted by law, unresolved disputes may be resolved by binding arbitration on an individual basis, and not as a class, collective, consolidated, or representative action.
If applicable law limits arbitration or class waivers, those limits apply only to the minimum extent required by law.
Disclaimer of Warranties
The service is provided on an AS IS and AS AVAILABLE basis without warranties of any kind, express or implied, to the fullest extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, Maxee is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption.
For free-service users, aggregate liability is capped at USD 100 unless law requires otherwise.
For paid plans (if launched), aggregate liability is capped at amounts paid in the 12 months before the claim event.
Indemnification
You agree to defend and indemnify Maxee against third-party claims arising from your data, your use of the service, or your breach of these Terms.
Time Limit for Claims
To the maximum extent permitted by law, any claim arising from or related to the service must be brought within one year after the claim arises, or it is permanently barred.
Miscellaneous
- Force Majeure: Maxee is not liable for delays or failures caused by events beyond reasonable control.
- No Waiver: Failure to enforce a provision is not a waiver of future enforcement.
- Severability: If any provision is unenforceable, remaining provisions remain in effect to the maximum extent permitted by law.
- Entire Agreement: These Terms and incorporated policies form the complete agreement regarding the service.
Governing Law and Updates
These Terms are governed by the law set in your applicable order form or, absent one, the jurisdiction stated in Maxee legal notices.
We may update these Terms periodically. Continued use after changes become effective constitutes acceptance of the revised Terms.
